Nissan Motor Co. and Honda Motor Co. have entered into a memorandum of understanding to initiate discussions on a business integration through the formation of a joint holding company. To facilitate this process, an integration preparatory committee will be established to conduct focused deliberations. A definitive agreement on this business integration is anticipated to be finalized by June 2025.

The plan involves the creation of a joint holding company via a joint share transfer, with Nissan and Honda becoming wholly owned subsidiaries. The shares of this new entity are expected to be listed on the Prime Market of the Tokyo Stock Exchange, with a planned listing date in August 2026. During this transition, Nissan and Honda shareholders will maintain the ability to trade the newly issued shares of the joint holding company on the Tokyo Stock Exchange.

In addition, Nissan, Honda, and Mitsubishi Motors have signed a separate memorandum of understanding to consider Mitsubishi Motors’ potential involvement and the sharing of synergies in the business integration. Mitsubishi aims to decide by the end of January 2025 on its participation in the ongoing integration discussions between Nissan and Honda.
