SPS Commerce, Inc. (SPSC) announced on Thursday its agreement to acquire Carbon6 Technologies, Inc., a company known for its suite of software tools designed for Amazon sellers, including offerings focused on revenue recovery for both first-party (1P) and third-party (3P) suppliers.
The acquisition will see SPS Commerce purchasing Carbon6 for an estimated total of $210 million, with approximately 40% of that amount being paid in SPS Commerce stock.
Completion of the transaction remains contingent upon customary closing conditions, including any necessary regulatory approvals.
Carbon6 products include ChargeGuard, which assists first-party Amazon sellers by automating the dispute process for invoice deductions, and Seller Investigators, which aids third-party sellers in reclaiming lost revenue due to fulfillment errors.
"Acquiring Carbon6 not only broadens the scope of the SPS Commerce network but also enhances our capability to optimize invoice deductions by utilizing data from our network. For the first quarter, SPS Commerce projects that this acquisition will contribute about $7 million in revenue, achieving a breakeven in Adjusted EBITDA.
Looking ahead to the fiscal year 2025, the acquisition is expected to generate approximately $40 million in revenue and result in a $5.5 million increase in Adjusted EBITDA.
